1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of CloudMSG ("Platform"), a WhatsApp Business API-based SaaS platform operated at app.cloudmsg.in.
By registering an account or using any part of our service, you agree to be bound by these Terms. If you are using CloudMSG on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, please do not access or use our services.
2. Our Services
CloudMSG provides a cloud-based platform that enables businesses to:
Send bulk WhatsApp messages and campaigns via WhatsApp Cloud API
Build and manage automated chatbot flows
Manage customer conversations through a shared team inbox
Create and manage WhatsApp message templates
Access contact management and CRM-lite features
Generate campaign analytics and delivery reports
We reserve the right to modify, update, or discontinue any feature of the platform at any time with reasonable notice to users.
3. User Accounts
To use CloudMSG, you must create an account and provide accurate, complete information. You are responsible for:
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Ensuring your account information remains up to date
One account may not be shared across multiple organizations or used to provide sub-accounts unless explicitly permitted under your subscription plan.
4. Acceptable Use
You agree to use CloudMSG only for lawful purposes and in accordance with these Terms. You must not use our platform to:
Send spam, unsolicited messages, or bulk messages to contacts who have not opted in
Transmit false, misleading, or deceptive content
Promote illegal products, services, or activities
Send content that is abusive, threatening, defamatory, or harmful
Violate any applicable local, national, or international law or regulation
Attempt to circumvent platform security, rate limits, or access controls
Resell or sublicense access to the platform without prior written permission
Use the platform to send adult content, gambling promotions, or content prohibited by WhatsApp's policies
Violation of acceptable use policies may result in immediate account suspension without refund.
5. WhatsApp Policy Compliance
CloudMSG operates through the official WhatsApp Business Cloud API provided by Meta Platforms, Inc. Your use of our platform is subject to Meta's policies in addition to these Terms:
You must comply with WhatsApp Business Policy at all times
You are solely responsible for obtaining proper opt-in consent from all contacts you message
Message templates must be submitted and approved by Meta before use in campaigns
You must not send messages to users who have opted out or blocked your number
Misuse of the API may result in your WhatsApp Business Account being restricted or banned by Meta
CloudMSG is not responsible for any action taken by Meta against your WhatsApp Business Account due to policy violations on your part.
6. Subscriptions & Billing
Plans: CloudMSG offers subscription-based plans with varying features and usage limits. Details of each plan are available on our pricing page.
Billing: Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable unless otherwise stated.
Renewals: Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.
Failed Payments: If a payment fails, we may suspend access to your account until the outstanding amount is cleared.
Upgrades/Downgrades: You may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
Pricing and plan features may change with 30 days' advance notice to registered users.
7. Your Data & Content
You retain full ownership of all data, contact lists, message content, and materials you upload or create on CloudMSG. By using our platform, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing our services.
You are solely responsible for:
The accuracy and legality of your contact data
Ensuring you have valid consent to message your contacts via WhatsApp
The content of all messages sent through our platform
We do not access, read, or use your message content for any purpose other than delivery and technical troubleshooting.
8. Intellectual Property
All software, designs, interfaces, logos, and content comprising the CloudMSG platform are the exclusive property of CloudMSG and its licensors. These are protected by applicable intellectual property laws.
You may not copy, modify, distribute, reverse-engineer, or create derivative works based on our platform without prior written consent. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the platform only.
9. Disclaimers & Limitation of Liability
CloudMSG is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or completely secure.
To the fullest extent permitted by law, CloudMSG shall not be liable for:
Any indirect, incidental, or consequential damages arising from use of the platform
Loss of data, revenue, or business resulting from platform downtime or errors
Actions taken by Meta/WhatsApp against your business account
Losses caused by unauthorized access to your account
Our total liability in any matter shall not exceed the amount paid by you to CloudMSG in the 30 days preceding the claim.
10. Termination
You may cancel your account at any time from your account settings. Upon cancellation, your access to the platform will continue until the end of your current billing period.
We reserve the right to suspend or terminate your account immediately, without notice, if:
You violate these Terms or our Acceptable Use Policy
Your account is used for fraudulent or illegal activities
We are required to do so by law or regulatory authority
Continued operation of your account poses risk to other users or our platform
Upon termination, your data will be retained for 30 days before permanent deletion, during which you may request an export.
11. Changes to Terms
We may revise these Terms from time to time. When material changes are made, we will notify users via email or an in-platform notice at least 14 days before the changes take effect.
Continued use of CloudMSG after the effective date of any changes constitutes your acceptance of the revised Terms.
